What are we looking for?

• LLB preferably with 3/4/5 years of experience either in practise or cumulatively as Legal officer/ managers of renewable and Power companies
• Should have had practised in civil suits, land related matters, management of commercial claims, arbitration and recovery of money, filing of IBC claims.
• Management of Criminal actions and proceedings to preserve and protect company interests, property and persons.
• Self starter in collection and collaboration with the cluster to brief counsels / advocates in preparation of the legal documentation in proceedings
• Meticulous Legal Support to Cluster / operations for Legal Drafting and documentation and negotiation through legal reasoning in contract negotiation for business
• Assist in Transaction Legal Advisory for restructuring and rearrangement of companies assets
• Working knowledge on the legal aspects of the electricity act and power business is desirable

You would be responsible for:

1. Litigation Management – Management of the Litigation by and against the Company

• Assist in closure of litigations identified in the enterprise risk litigation log
• Improving the recovery of money stuck in litigations by attempts to mitigate, mediate and settle disputes.
• Commencement and Management of Litigations in the High and Civil Courts for Renewable Companies
• Civil and Land related litigations, liaison and follow up with advocates and auditors for recovery of company monies
• Legal Strategy management through filing of Writ Petitions against statutory Authorities
• Arbitration and Settlement of commercial claims.
• Management of Legal proceedings for claiming under IBC or Tribunals.

2. Drafting and vetting of Agreements for and across functional levels, divisions pertaining to business

• Evaluation of Group Captive Structure for the supply/ consumption of energy to Group Captive consumers through different models- ( the Share Purchase model, Share Subscription model, Build own Transfer Model , Build Transfer and Operate Model )
• Review, vetting, prepare and negotiate the Captive Structure documentation for supply/consumption of green energy
• Review, vetting, prepare and negotiate Legal Documentation for Large Projects
• Drafting, Vetting, negotiation of transaction documents pertaining to EPC and O&M contracts, Service Agreements in the Renewables, Non- Renewables and Other Electricity New business areas ( EV Charging , DSM , Microgrids ) with assistance in business team negotiation.
• Drafting, Vetting, negotiation of Contracts, documents pertaining to Project Implementation for Capacity Expansion and Improvements in the Brownfield and Thermal Projects , RFQ and Bid Queries response and vetting of Bid documents
• Drafting Vetting and Negotiation of collaboration documents, term sheets for International Joint ventures Bids
• Drafting and Vetting of critical contractual notice of communication, contracts for all the business Clusters ( Strategic Finance, Business Development, Operations of the Generation – Thermal, Hydros, Renewal, T&D )
• Management of Legal issues (Land, Corporate, material contracts, Compliances, Approvals) in transactional due diligence for acquisition and sale of companies

3. Transaction Legal Advisory

• Restructuring and Rearrangement of assets, acquisition or Sale of Shares in the business cluster
• Review and Management of Project Diligence and Transaction Documents for transactions, structures (Monetisation of assets through Sales, BTA, NCLT Mergers, restructuring of business,)
• Transaction Support in Renewables portfolio restructuring and Transaction support in investment through Platform SPVs

4. Legal Administrative Roles ( Legal Process and Risk Management)

• Self handling the record keeping of Legal documentation in the Company’s digitized platform
• Improved TBEM rating of EPM process for Legal upto 3.1 rating
• Managing the Legal Administration of the Tata Power Legal team with respect to Corporate MIS Reporting, Budgeting, Internal Process, Strategy Deployment, Assurance and Risk Management Champions
